Article 3. Contract Formation and Service Delivery
A paid-service contract is formed when the user reviews the plan, monthly charge, automatic renewal, these terms, and the cancellation and refund policy, and then completes payment. Delivery of the paid service begins when the subscription entitlement is activated after payment approval.
Order details, the amount charged, and the next billing date are available on the pricing and billing-history screens. Payment results are provided in the service or through the user's registered contact details.
Article 4. Automatic Renewal and Failed Payments
A paid subscription automatically renews on the monthly billing date for the same plan until the user cancels it. The next billing date and subscription status are displayed on the pricing page.
If a renewal payment fails, the subscription may be marked past due and retried 1, 3, and 7 days after the scheduled renewal date. New paid work cannot be started while the subscription is past due; access resumes after successful payment. If payment is not completed within the seven-day payment grace period, the subscription and access to paid features may end.
If the monthly price or another material transaction term changes, Orvyt will provide notice before the change takes effect and will obtain separate consent where required by law.
Article 5. Plan Changes
- An upgrade displays the prorated difference before payment and takes effect immediately after that payment succeeds.
- A downgrade takes effect after the current term ends and the next renewal payment succeeds. The existing plan remains available during the current term.
- If a duplicate request or lost response occurs, Orvyt checks the existing payment result before creating another payment.
Article 6. Cancellation and Refunds
Users may stop automatic renewal at any time on the pricing page. Ordinary cancellation takes effect on the last day of the current billing period, and the existing plan remains available until then. A scheduled cancellation may be withdrawn before it takes effect.
To end access immediately and reverse a charge, the user must request a refund from billing history. Withdrawal, full-refund eligibility, restrictions after use, and processing periods are governed by the Cancellation and Refund Policy. Nothing in these terms limits rights that cannot be waived under applicable law.
Article 7. External Services and User Responsibilities
Definition and role
External services are services and APIs operated independently of Orvyt, including Suno, DistroKid, Google’s YouTube and Gemini, and OpenAI. Orvyt supplies tools supporting music and video creation, publishing and distribution workflows; it does not operate those services or sell their accounts. An integration does not itself establish endorsement, partnership or permission for every method of use.
User accounts and separate charges
Users are responsible for registration, verification, subscriptions, available credits and permissions for external accounts they connect. Unless expressly included, subscriptions, credits, distribution options and additional charges for those accounts are not included in Orvyt fees. API features supplied under Orvyt’s own provider contracts are governed by the scope described in the plan.
Authorized use and content rights
Before choosing an external connection or automation feature, users must review and comply with the following requirements.
Review the provider’s terms, privacy policy, automation and API rules and determine whether the intended use is permitted for the user’s account type. The availability of repeat tasks, batch generation or upload and distribution assistance does not establish the provider’s permission.
Connect only accounts the user is authorized to use and operate within permitted permissions, quotas and scope. Bypassing access restrictions, unauthorized accounts and prohibited automation are not permitted.
Before publication, confirm copyright, commercial-use rights and distribution or upload eligibility for inputs and outputs. Users bear disputes and costs attributable to their unauthorized use or policy violations. Orvyt remains responsible for obligations applicable to its own integration and service implementation.
Authentication and permissions
Connecting an account is optional. Users must review the requested permissions and intended actions. Processing, retention and deletion of authentication and permission data are governed by the Privacy Policy and connection notices. These terms are not blanket consent to collect arbitrary cookies, passwords or API keys or use them for unrelated purposes. Users may revoke authorized access in the external provider’s account settings, which may limit integration features. Tokens, API keys or other authentication data supplied or authorized by users through a connection flow are used only as necessary for the described features. Any feature processing other authentication data, such as cookies, remains subject to its specific notice and required consent; connecting an account is not consent to collect or transmit all credentials.
Independent provider decisions
External providers decide matters including Suno generation limits, credits and commercial-use conditions; DistroKid and distributor review, rejection, removal and royalty holds; and YouTube upload limits, copyright enforcement and monetization. Orvyt does not guarantee account retention or restoration, release approval, publication timing, views, monetization or revenue. Where Orvyt is not at fault, it has no duty beyond applicable legal obligations to reverse sanctions or compensate for account suspension or deletion, content disputes or loss arising from user violations or independent provider decisions.
External-service risks and user responsibility
Users must consider the following risks before connecting external services or executing tasks. Orvyt does not assume the resulting losses or costs or guarantee a remedy beyond applicable legal obligations.
Disconnection caused by account suspension, deletion, restrictions, token expiry, revoked permissions or invalidated credentials
Delayed or failed generation, uploads or distribution caused by automation blocking, quotas or security-policy changes
Damages claims, contractual penalty claims or legal disputes attributable to the user’s breach of terms or infringement of rights
Additional costs or lost opportunities caused by external price changes, reduced scope or service shutdown
Copyright disputes, takedowns, monetization restrictions or royalty holds concerning content published or distributed by the user
Challenges to an external provider’s operations, review or enforcement decisions must follow that provider’s procedures. Orvyt does not guarantee reversal, account restoration or dispute outcomes. The exceptions in Liability and refunds below continue to apply.
Policy changes and feature availability
Changes to external terms, prices, APIs, interfaces or authentication, quotas, automation restrictions, outages or shutdowns may change or interrupt integrations. On becoming aware of an impact, Orvyt will inform users of the impact and response and may modify, restrict or discontinue affected features. Urgent security or policy measures may be followed by notice. External changes for which Orvyt is not responsible do not alone create a guarantee of permanent compatibility or compensation for external account loss or expected revenue.
Liability and refunds
An external cause does not automatically exclude all liability or refunds. These limitations do not exclude Orvyt’s liability for intentional misconduct, negligence, failures to protect authentication data or other non-excludable obligations. Where contracted paid features are not delivered, Orvyt will assess actual delivery and the unavailable period under the refund policy and applicable law. Refunds of amounts paid directly to an external provider must be requested from that provider.
YouTube API Services
Users of the YouTube API integration agree to be bound by YouTube’s Terms of Service. Google’s processing is governed by Google’s Privacy Policy; Orvyt’s processing is described in its own Privacy Policy.

Article 8. Account Deletion
Account deletion and subscription cancellation are separate procedures. If an active subscription exists, the user must first schedule cancellation and may delete the account after the current billing period ends. If a refund, payment dispute, or reconciliation is pending, account deletion may be completed after that procedure ends. Transaction and refund records that must be retained by law are stored separately from general account data.
Article 9. Contact and Disputes
Questions about payments, cancellation, or refunds may be submitted through billing history, in-product support after login, developer@orvyt.kr, or 070-8064-2363.
Matters not addressed by these terms are governed by the Orvyt Terms of Service and the laws of the Republic of Korea. Mandatory legal provisions that are more favorable to the user prevail over these terms.
